    Neha: The pleasure is all mine! Today we want to delve deeply into your practical experiences with the privacy management software OneTrust. A tool that is absolutely indispensable in today's data-driven world to ensure compliance, especially with the GDPR. Let's start right away with a core element, the Data Protection Impact Assessment, or DPIA. Rahul, how did you concretely set up a workflow for a DPIA according to Article 35 GDPR in OneTrust?

    Rahul: Exactly, the starting point is always a template tailored directly to the requirements of Article 35. I then configure a detailed questionnaire where the business units must provide information on the categories of data processed, the purposes of processing, the recipients, and any transfers to third countries. Based on these inputs, the system then automatically assesses the risk – so low, medium, or high.

    Neha: And for high-risk assessments, an automatic escalation mechanism hopefully kicks in, right? Because that's the critical point.

    Rahul: Absolutely. That's precisely why you set up an automatic escalation to the Data Protection Officer. The final report is archived and is immediately available for a potential inquiry from the supervisory authority. I carried out this entire process, for example, at my former employer, for a clinical trial platform. We were processing highly sensitive health data there, and OneTrust helped us identify the risks early on.

    Neha: That's a perfect example. What concrete measures were you able to take as a result?

    Rahul: OneTrust enabled us to act proactively. As a result, we introduced pseudonymization and enhanced 'Human Oversight', among other things. This not only fulfilled the requirements of Art. 35 GDPR but also acted in the spirit of the Google Spain case, where the ECJ emphasized the need for particularly careful balancing of interests.

    Neha: Very important. But OneTrust is more than just DPIAs. A huge topic is vendor risk management. How did you use the tool to automate third-party risk assessments and the management of Standard Contractual Clauses, the SCCs?

    Rahul: Right, that's a central use case. I configured automated questionnaires that are sent directly to the third-party vendors. These check their technical and organizational measures, the TOMs, and the data flows. The system evaluates the answers and immediately marks missing safeguards or risky data transfers outside the EU without SCCs in red. Subsequently, I integrated the SCCs according to Article 46 GDPR into the contracts and documented this process meticulously in OneTrust.

    Neha: Meticulous documentation was, especially after the Schrems II ruling by the ECJ, no longer just nice-to-have but absolutely critical.

    Rahul: Exactly. At MetLife, I oversaw over 200 such vendor assessments. After Schrems II (July 2020), it was vital for survival that we not only implemented the SCCs but also meticulously documented their implementation. To get an even more comprehensive picture, I often used TrustArc additionally to be able to comparatively evaluate international vendors against both U.S. and EU standards.

    Neha: Very prudent. Let's come to a topic where every second counts: Incident Response. The 72-hour notification duty for data breaches is a tremendous challenge. How does OneTrust support that in practice?

    Rahul: By rehearsing the processes beforehand. I configured so-called breach simulations in OneTrust. If an incident is logged, the system automatically classifies its severity and – this is crucial – a 72-hour timer starts immediately. In parallel, the software already generates drafts for the notifications to the supervisory authorities and the data subjects, as required by Articles 33 and 34 GDPR.

    Neha: It sounds like you can save valuable hours and minutes in an emergency that way.

    Rahul: Precisely. At MetLife, we practice...

    Rahul: The core lies in the extremely divergent legal frameworks, Neha. Compare just the EU with its strict AI approach, India's data protection laws still emerging until 2023, and the fragmented US regulatory environment. A prime example: WhatsApp's challenges in 2021 – the EU enforced privacy policy changes while Indian regulators questioned the same policy. Genuine collaboration can cushion such divergences.

    Neha: Fascinating! You mentioned sharing knowledge through company-wide GDPR implementation. How does this create a unified foundation?

    Rahul: By establishing GDPR as a global benchmark – even for India and the US. Another key issue: Data transfers post-"Schrems II". We formed task forces to manage EU-India/US transfers via Standard Contractual Clauses. That's lived legal collaboration.

    Neha: This extends beyond pure legal aspects, right? You mentioned cultural differences, like employee involvement.

    Rahul: Exactly! German works councils must be consulted for AI monitoring – not required in India. I ensured German requirements like employee notifications were respected worldwide. Similar to how Microsoft extended GDPR rights globally.

    Neha: Let's explore your practical example. At your former company with customers and stakeholders in Germany and the USA – how did you structure AI governance?

    Rahul: The Bi-national "AI Governance Council" with legal and technical experts from both regions was crucial. Together we developed a unified policy aligned with the strictest standard – GDPR plus the upcoming EU AI Act as baseline.

    Neha: What advantage did this offer regions with more lenient laws like India at that time?

    Rahul: Even the Indian office followed high privacy and transparency standards – though not locally required. This prevented fragmentation and prepared us for new laws like India's DPDP Act 2023.

    Neha: How did knowledge exchange work concretely in the council?

    Rahul: The German team shared DPIA methods for AI, and the US team shared NIST risk management practices. This ensured AI models were built to GDPR principles from inception – no retrofitting needed.

    Neha: Practical benefit during problems? Say, a bias incident in Germany.

    Rahul: Precisely! If bias was detected in Germany through an AI audit, the global team used these findings for preventive correction in all regions. This avoided potential US lawsuits or Indian regulatory proceedings – global synergy instead of silos.

    Neha: Which legal foundations support this approach?

    Rahul: No direct "collaboration law," but: GDPR became a de facto global standard. OECD AI Principles and GPAI promote international ethics consistency. We leveraged these "soft laws" to create internal policies meeting Germany's strictness while influencing India/US early.

    Neha: How do you respond to different supervisory bodies – EU Data Protection Board, India's new Data Protection Authority,or US’s FTC?

    Rahul: A unified global policy is key here! It demonstrates we apply high standards worldwide. Also regarding employee rights: We reduced disparities between German co-determination and US regulations – minimizing conflict risks.

    Neha: So fundamentally: Leadership through proactive harmonization?

    Rahul: Yes! We smoothed regulatory differences and were prepared when laws caught up in more lenient jurisdictions. This forward-looking risk management builds trust with regulators – potentially even milder sanctions if issues arise.

    Neha: Also, du hast von 2022 bis 2024 als Head of Contracting bei einer deutschen Firma gearbeitet. Erzähl unseren Zuhörern etwas über deine aktuelle Tätigkeit bei Sigal SMS GmbH in Leipzig.

    Rahul: Gerne. Bei Sigal SMS, einem deutschlandweiten Netzwerk von Studienzentren für klinische Forschung, leitete ich seit Anfang 2022 die Vertragsabteilung. Dort habe ich zum Beispiel unsere Vertragsprozesse komplett neu aufgesetzt, um sie DSGVO-konform zu machen. Wir haben dafür unter anderem ein Contract Lifecycle Management eingeführt, zum Beispiel DocuSign CLM, und standardisierte Vorlagen erstellt. Das hat die Bearbeitungszeit für Verträge um etwa 40 % verkürzt.

    Neha: 40 % schnellere Abläufe durch eine neue CLM-Implementierung – das ist beeindruckend. Welche weiteren konkreten Maßnahmen hast du bei Sigal SMS umgesetzt?

    Rahul: Neben den neuen Templates habe ich rund 200 interne Risikoprüfungen geleitet. Dabei haben wir maßgeschneiderte Datenschutz- und Compliance-Klauseln entwickelt und in die Verträge integriert. Dadurch konnten wir die Verhandlungszeiten um weitere 30 % senken.

    Neha: Das klingt nach intensivem Stakeholder-Management. Mit welchen Teams und Abteilungen hast du dafür zusammengearbeitet?

    Rahul: Ich habe eng mit unseren technischen und finanziellen Teams sowie mit dem klinischen Studienmanagement zusammengearbeitet. Da Sigal SMS auch international tätig ist, koordinierten wir parallel in Europa und den USA. Wir nutzten Tools wie SharePoint für das Dokumentenmanagement, um alle auf dem gleichen Stand zu halten.

    Neha: Du hast erwähnt, dass Sigal SMS sich um klinische Studien kümmert. Wie wichtig ist dabei die Einhaltung von Datenschutzrichtlinien?

    Rahul: Sehr wichtig. In klinischen Studien verarbeiten wir besonders schützenswerte Gesundheitsdaten. Daher war es essenziell, DSGVO-konforme Prozesse einzuführen – zum Beispiel standardisierte Vereinbarungen mit Ärzten und Sponsoren, die alle Datenschutzbestimmungen enthalten. Das war Teil unserer 40 %-Effizienzsteigerung.

    Neha: Spannend. Und bevor du zu Sigal SMS kamst, warst du bei MetLife, einer Fortune 500 Firma aus den USA tätig?

    Rahul: Ja, von 2016 bis 2020 war ich Lead Procurements Counsel bei MetLife in Indien. Dort war ich für Beschaffungsverträge im IT- und Cloud-Bereich zuständig.

    Neha: Über 400 IT-Verträge – das war in deinem Lebenslauf zu lesen. Wie sah diese Aufgabe genau aus?

    Rahul: Genau, ich habe über 400 Cloud- und IT-Beschaffungsverträge mitgestaltet und verhandelt. Dabei habe ich unsere Beschaffungsvorlagen so angepasst, dass sie DSGVO- und KI-Compliance-Klauseln enthalten. Außerdem haben wir auf aktuelle rechtliche Entwicklungen reagiert, zum Beispiel nach Schrems II, indem wir neue Standardvertragsklauseln eingebunden haben.

    Neha: Und wie war es, in einem amerikanischen Konzern zu arbeiten? War das ein großer Unterschied für dich im Vergleich zu deiner Arbeit in Deutschland?

    Rahul: Der kulturelle Unterschied war zwar da, aber als Jurist, der bei internationalen Projekten arbeitet, war ich es gewohnt. Bei MetLife habe ich vor allem mit Lieferanten verhandelt und eng mit den Rechtsabteilungen in Europa zusammengearbeitet, zum Beispiel um US-Datenschutzstandards mit der DSGVO zu verbinden.     Rahul: That's an excellent question, Neha. The crux is really the uncertainty about who owns an analysis or insight that an AI autonomously generates from customer data – and which wasn't created by a human employee. A very relevant real-world example is Salesforce’s Einstein. Let's imagine Einstein's AI creates forecasts or reports specifically for a client. Without explicit contractual terms, the burning question arises: Is this result the client's intellectual property, or can Salesforce perhaps even reuse it itself or make it accessible to other clients? This ambiguity is the perfect breeding ground for future conflicts.

    Neha: Exactly, and this IP ambivalence can have existential consequences, especially in sensitive areas like healthcare. Can you sketch a concrete scenario where this could go wrong – perhaps even referencing a known precedent case that illustrates the risk?

    Rahul: Absolutely. Let's take an AI SaaS service that analyzes clinical data from a pharmaceutical company and generates a proprietary insight – for example, a specific signal about the efficacy of a drug in a particular patient group. If the contract doesn't have clear IP assignment for this AI-generated insight, the SaaS provider could later claim rights to it or argue that it may use this insight – perhaps in anonymized or aggregated form – for other clients too. A very instructive case that underscores this risk – even though it primarily involved trade secrets and not pure AI output – is IQVIA vs. Veeva from 2017. IQVIA, itself a major provider of SaaS solutions in the healthcare data space, sued Veeva at the time because it believed Veeva had used its protected data to derive competitively relevant insights. Such cases show impressively: Clear contractual rules for derived data and insights are not optional; they are essential.

    Neha: That perfectly underscores the importance of your work. How did you solve this double challenge – on the one hand giving the client the necessary sense of security and clear ownership rights over his specific AI insights, while on the other hand also enabling your former employer to learn from the use of the service and further develop its platform? Are there comparable models, perhaps from the public sector?

    Rahul: A very central question because this balance was indeed the key. My clauses made it unambiguously clear: Insights that our AI generated specifically from the unique clinical data of a particular client are owned by that client – or at least licensed exclusively to them. This was fundamental to protect their trust and competitive advantage. A positive model from another context, by the way, is Palantir's contracts for its Gotham software with the German federal government. Palantir explicitly ensures there that the intelligence reports generated by the software are considered the property of the government – this takes legitimate IP concerns off the table from the outset. But – and this is crucial – on the other side, I contractually ensured that my former employer retained ownership of the underlying proprietary algorithms and, very importantly, of aggregated and anonymized insights derived from the usage of all clients. This ensured that a single client couldn't suddenly claim rights to general improvements of the AI or the service that were prompted by their usage. It's about separating the specific output for the client from the general learning of the platform.

    Neha: That strongly reminds me of the classic "Work Made for Hire" problem in copyright law, just applied to AI output. Without clear contractual assignment, it's often completely unclear who owns the result. Wasn't there even a famous precedent case from aerospace that illustrates this danger?

    Rahul: Correctly spotted, Neha! That's a very important analogy and a cautionary tale...

Today, we’re discussing GDPR implementation, specifically privacy-by-design, vendor data processing agreements (DPAs), and data transfer safeguards. Rahul, you’ve often emphasized that companies like Microsoft or Salesforce set benchmarks when the GDPR took effect. But what does this mean practically?

    Rahul: Thanks, Neha. Exactly, these companies integrated privacy-by-design into their development processes and signed GDPR-compliant agreements with all vendors processing EU personal data by the deadline. A negative example is the Marriott data breach in 2019: The UK ICO imposed an £18 million fine because Marriott neither vetted a vendor’s security nor had contractual safeguards. I avoided such risks at my former employer by aligning our vendor DPAs and safeguards with companies like Novartis or Pfizer – both clients of my former employer.

    Neha: That’s a key point! You also mention privacy-by-design as technical implementation – similar to Apple’s iOS, where privacy is built-in via differential privacy or on-device data processing. How did you implement this at your former employer?

    Rahul: I instructed engineering and procurement to integrate data minimization and encryption from the outset. I also contractually obligated vendors to do the same. A concrete example: When designing our platform, I advocated collecting only data necessary for trial outcomes. I also recommended hashing patient IDs so vendors never see direct identifiers – real-world privacy-by-design in practice.

    Neha: Fascinating! Another major event was Schrems II in 2020, which invalidated the EU-US Privacy Shield. Many companies scrambled to secure data transfers. How did you preempt this?

    Rahul: At my former employer, we worked with a US cloud host and an Indian data analytics provider. For the US vendor, I implemented Standard Contractual Clauses (SCCs), activated EU data centers, and added end-to-end encryption as an "additional measure" per EDPB guidance post-Schrems II. The Indian vendor similarly followed SCCs plus pseudonymization. This allowed our clinical trials to continue smoothly, even when other firms halted EU-US data transfers.

    Neha: Practical! This avoids fines like WhatsApp’s €225 million penalty in 2021 for inadequate transparency and operational hiccups. You even mention a specific situation at your former employer...

    Rahul: Yes! When a trial participant exercised their GDPR right to erasure, we could flow the request to all vendors thanks to robust contractual clauses. Without this prep – as in the Dedalus case – it could have led to complaints. In short: My measures aligned with both the letter and spirit of GDPR (Arts. 25, 28, 44-49) and shielded us from audits, like those by CNIL for pharma companies or the Bavarian DPA, which criticized US cloud usage without extra safeguards in 2020.

    Rahul: Absolutely, Neha. Technical specifications – such as for encryption or access controls – are worthless if they cannot be contractually enforced. A clear example is cloud services: After serious incidents like the 2019 Capital One data leak, which resulted from a cloud misconfiguration, it became painfully clear that contracts must impose clear technical security requirements on vendors.

    Neha: Yes, and the regulatory consequences underscore that, right? The FTC in FTC v. Wyndham (2015) specifically found that insufficient contractual security obligations and lack of oversight of third-party vendors contributed to Wyndham's liability for the data breach.

    Rahul: Exactly. FTC guidance now explicitly advises including specific security expectations in vendor contracts. It's similar for IP protection. Take a hypothetical scenario: IBM licenses an AI tool to Amazon – let's call it "IBM v. Amazon" – without clear contractual clauses on improvements. If Amazon then develops enhancements, a dispute arises over ownership rights. A cross-functional review (Legal + Tech) would have foreseen this gap and included an IP clause for derivative works.

    Neha: And such translation errors are not uncommon. In the real Dedalus case, for example, the technical requirement for secure data migration was not reflected contractually. Dedalus did not encrypt the data, leading to a violation. The French data protection authority CNIL criticized the absence of "elementary security measures" and the lack of a contract enforcing them. Your proactive approach closes such gaps by aligning technical specifications with contract clauses. You had a concrete case study on this at MetLife?

    Rahul: Correct. Between 2016 and 2020, MetLife developed the "MetLife Xcelerator" digital platform. As GDPR came into force in 2018, the platform had to comply with strict "Privacy by Design" principles – technically, for example: minimal data collection and on-device processing. I led a review with software engineers who decided to use anonymization. I then drafted the user terms and vendor contracts to state that only anonymized data may be shared and no personal data may leave the device. This gave the technical design legal effect.

    Neha: That also affected IP rights, right? The app used a machine learning library under an open-source license requiring attribution and no sub-licensing of modifications.

    Rahul: Exactly. I worked with the developers to understand this technical license requirement and ensured contracts with end-users and any partners honored those terms. Without this legal protection, MetLife Xcelerator could have inadvertently breached the license and faced copyright claims – similar to the BusyBox GPL cases where companies distributed firmware with GPL code without complying with the license conditions.

    Neha: And you went a step further: The app's technical specifications required third-party APIs – like a mapping API – not to store query data.

    Rahul: Yes, I then inserted clauses into the API service agreements prohibiting the providers from retaining or misusing the company's data. This protected both privacy and IP – the query patterns were potentially proprietary usage data. Later, an incident actually occurred: A vendor wanted to repurpose usage data for marketing. However, my contractual clause explicitly forbade this, enabling MetLife to legally stop it – thus preventing a data privacy violation.

    Neha: That powerfully illustrates how proactively "translating" technical requirements – like "don't reuse data" or "implement security measure X" – into contracts provides legal recourse and deterrence. What legal frameworks support this approach?

    Rahul: There's no law explicitly stating "translate tech into contracts." But GDPR Article 28 requires contracts with processors to include technical and organizational measures...
